These Terms of Service (“Terms”) govern your access to and use of Carify’s website, app, and inspection services (the “Services”), provided by Carify, Inc. (“Carify,” “we,” “us”). By creating an account, placing an order, or checking the “I agree” box at checkout, you agree to these Terms and to the Carify Privacy Policy.
1. Electronic acceptance (E-SIGN)
You agree to transact electronically and that your click of “I agree,” or your use of the Services, constitutes your signature and consent to these Terms, the Privacy Policy, and the Inspection Accuracy Guarantee Terms & Conditions, each of which is incorporated by reference.
2. The Services
Carify provides independent, standardized, third-party pre-purchase vehicle inspections performed by certified Verified Inspectors, and issues a graded A/D/F report. Carify is not a party to any vehicle sale, is not a dealer, broker, lender, or your agent, and does not recommend whether you should buy or sell any vehicle. The Services support, but do not replace, your own due diligence. You must be at least 18 years old and able to enter a binding contract to use the Services.
3. The inspection & report
- The inspection is standardized, non-invasive, includes an undercarriage examination, and performed at a point in time. It does not include disassembly or teardown.
- Reports use observational language (“no evidence of X observed”) and a fixed scope & limitations statement. A report is not a warranty, certification, or guarantee that a vehicle is free of defects, and professionally concealed conditions may not be detectable.
- Carify is not responsible for conditions that arise after, or were not reasonably detectable at, the inspection.
4. Orders, pricing, payment & cancellation
- Prices are shown at checkout. Payments are processed by Stripe. Carify does not store your full card details.
- You may cancel an order up to twenty-four (24) hours before the scheduled start time of your appointment for a full refund of the inspection fee. Within twenty-four (24) hours of the scheduled start time, and once the inspection is performed, the fee is earned and is non-refundable.
- Carify does not offer rescheduling. Each order is for one specific appointment; to change the date, time, or location, cancel the order and place a new one.
- The Refund and Cancellation Policy governs cancellations, no-shows, vehicle access, and cancellations by Carify, and is incorporated into these Terms.
- You agree not to initiate chargebacks for completed inspections, except where the law gives you a right you cannot waive.
5. The 30-Day Inspection Accuracy Guarantee
Grade-A inspections include the 30-Day Inspection Accuracy Guarantee, governed by its own Terms and Conditions (incorporated by reference). It is Carify’s own limited guarantee of the accuracy of its inspection, and the sole remedy is a refund of the inspection fee. It applies only when a Grade-A report missed a structural accident, flood, or fire that existed at the time of inspection and was reasonably detectable under Carify’s inspection standards. It is not insurance, not a warranty of the vehicle, and not a vehicle service contract.
6. Disclaimers
EXCEPT AS EXPRESSLY STATED, THE SERVICES AND REPORTS ARE PROVIDED “AS IS” AND “AS AVAILABLE,” AND CARIFY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. Carify does not warrant that any vehicle is free of defects or that a report will detect every condition. This disclaimer does not limit any right or warranty that the law does not allow Carify to disclaim.
7. Limitation of liability
To the maximum extent permitted by law, Carify’s total liability arising out of the Services is limited to the greater of the fees you paid for the applicable order or, where the Inspection Accuracy Guarantee applies and a claim is approved, the refund of the inspection fee under that Guarantee. Carify is not liable for indirect, incidental, special, consequential, or punitive damages. Some jurisdictions do not allow certain limitations. Those limits apply only as permitted. These limits do not apply to liability that the law does not allow Carify to limit, including liability for fraud, willful injury, or violation of law.
8. Indemnification
You will indemnify Carify from claims arising out of your misuse of the Services or reports, your violation of these Terms, or your violation of law or the rights of others. This duty does not apply to the extent a claim arises from Carify's own negligence or misconduct.
9. Intellectual property
Carify owns the brand, reports, grading rules, app, and content. You receive a limited, revocable license to use them for your personal, non-commercial vehicle-purchase purposes.
10. Dispute resolution, arbitration, and class-action waiver
- Informal resolution first: contact us and allow 30 days to resolve a dispute before filing.
- Binding individual arbitration: most disputes are resolved by binding arbitration on an individual basis administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, seated in Los Angeles County, California, with the arbitration fees allocated as those consumer rules require. Either you or Carify may instead bring a qualifying claim in small claims court.
- Class-action waiver: you and Carify waive any right to a class or representative action, except where such a waiver is unenforceable (e.g., non-waivable public injunctive relief under California law). If a court finds the class or representative action waiver unenforceable as to a claim for public injunctive relief, that claim proceeds in court and the rest of this section stays in force.
- Opt-out: you may opt out of arbitration within 30 days of first accepting these Terms by written notice to official@carify.info or Carify, Inc., 3680 Wilshire Blvd, Ste P04 - 1224, Los Angeles, CA 90010.
- Governing law: California, without regard to conflict-of-laws rules.
- Assignment of claims. By using the Services, you assign and subrogate to Carify, to the fullest extent permitted by law, your claims against a Verified Inspector or Dealer whose fraud or fault caused a loss that Carify has covered or is pursuing, so that Carify may recover from the at-fault party. Certain consumer statutory rights may not be assignable and are unaffected.
- Public Inspection-Report Lookup & Publication. Carify operates a public, VIN-searchable database of inspection reports. Where the vehicle owner has consented (see the Vehicle Inspection Authorization), Carify may publish the inspection report — including the grade, a findings summary, and the inspection photos — published on a permanent, VIN-searchable basis. License plates are covered at the inspection, any individuals are avoided (and an inadvertently-captured person can be removed on request), and location/EXIF metadata is removed from published images. Published reports may show the Verified Inspector's identity (so buyers can see where the car was inspected). No ordering-user or vehicle-owner personal information is published. The lookup and any published data are provided “as is,” are observational and point-in-time, and are not a warranty of the vehicle. You may not scrape, resell, or misuse the data.
- Data Dispute & Correction (prominent; separately linkable). If you believe a published record is inaccurate, you may submit a dispute to official@carify.info with supporting information. Carify will review the dispute (which may include an independent re-inspection against its objective thresholds) and will correct, annotate, remove, or uphold the record, with a written, reasoned response within 30 days.
11. Changes, termination & miscellaneous
Carify may update these Terms going forward by posting the new version with a new effective date and giving reasonable advance notice of material changes by email or in the app. Changes apply only after that notice. If you keep using the Services after the changes take effect, you accept them. Carify may suspend or terminate access for breach. If any provision is unenforceable, the rest stays in effect. These Terms, with the Privacy Policy and the Inspection Accuracy Guarantee, are the entire agreement. If they conflict, these Terms control, except that the Inspection Accuracy Guarantee controls on matters specific to that Guarantee.
